Summary: Use Replia responsibly. You own your content. AI is a tool, not a replacement for judgment. We can change or discontinue features. Payment terms are clear. UAE law governs.

1. Parties and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Arve Tech FZC - LLC ("Company", "we", "us", "our"), a Free Zone Company — Limited Liability registered in the United Arab Emirates.

By creating an account, accessing, or using Replia ("the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Replia is an AI-powered mobile application that assists users in growing their presence on Meta's Threads platform. The Service includes:

AI-assisted content creation (post drafts, rewrites, virality scoring)
AI-powered reply suggestions for strategic engagement
Content publishing to Threads via Meta's official API
Analytics dashboard with performance metrics and AI insights
Reply queue for discovering and engaging with relevant conversations
Streak tracking, goal management, and gamification features

The Service is dependent on Meta's Threads API. Changes to Meta's platform, API, or policies may affect Service availability or functionality. We are not responsible for such changes.

3. Eligibility

You must be at least 16 years of age (or 13 in jurisdictions where that is the minimum age of digital consent)
You must have a valid Threads account
You must have the legal capacity to enter into a binding agreement
You must not be prohibited from using the Service under applicable law
You must not have been previously banned from the Service

4. Account Registration and Security

4.1 Registration

You must provide accurate and complete information when creating an account. You agree to keep this information up to date.

4.2 Security

You are solely responsible for maintaining the confidentiality of your credentials
You are responsible for all activities that occur under your account
You must immediately notify us at security@replia.net of any unauthorized access
We are not liable for losses arising from unauthorized use of your account

4.3 Account Sharing

Accounts are for individual use only. You may not share, transfer, or sell your account. Multiple Threads accounts may be connected to a single Replia account (subject to plan limits).

5. Threads Integration and Authorization

By connecting your Threads account, you explicitly authorize Replia to:

Access your Threads profile information (username, follower count)
Read your published posts, replies, and their performance metrics
Publish posts and replies on your behalf when you explicitly initiate the action
Search for public content on Threads (for reply queue functionality)
Access your analytics and engagement insights

Important: Replia will never:

Publish content without your explicit initiation (tap "Post" or "Send")
Follow, unfollow, like, or repost on your behalf automatically
Access your Instagram account, direct messages, or data outside Threads API scope
Share your Threads access token with any third party

You may revoke authorization at any time via Settings → Delete Account, or through Meta's security settings.

6. AI-Generated Content

6.1 Nature of AI Content

Replia uses artificial intelligence (Anthropic's Claude) to generate content suggestions. AI-generated content:

Is provided as a suggestion only — never published without your review and approval
May contain factual errors, biases, or inappropriate material
Should be reviewed, edited, and approved by you before publishing
Does not represent the views or opinions of Arve Tech FZC - LLC

6.2 Your Responsibility

You are solely and fully responsible for all content published from your Threads account through Replia, whether AI-assisted or manually written. This includes:

Ensuring content complies with Threads' Community Guidelines
Verifying factual accuracy of AI-generated claims
Not publishing content that is defamatory, misleading, harassing, or illegal
Not infringing on third-party intellectual property rights

6.3 AI Limitations

We do not guarantee:

That AI-generated content will be accurate, appropriate, or free from bias
Specific engagement, follower growth, or virality outcomes
That AI suggestions will comply with all applicable laws in your jurisdiction
Continuous availability of AI features (subject to third-party API availability)

7. Subscription Plans and Payment

7.1 Plans

7.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually)
Payment is processed through Apple App Store, Google Play Store, or Stripe (for web purchases)
Prices are in US Dollars unless otherwise stated
Sales tax, VAT, or other applicable taxes may apply based on your jurisdiction

7.3 Free Trial

We may offer a 7-day free trial to new subscribers
No charge during the trial period
You may cancel at any time during the trial without charge
If not cancelled, your paid subscription begins automatically at the end of the trial
Free trials are limited to one per user

7.4 Cancellation and Refunds

You may cancel your subscription at any time
Upon cancellation, access continues until the end of the current billing period
No prorated refunds for partial periods
App Store and Google Play purchases are subject to the respective store's refund policies
Web purchases via Stripe: refunds may be requested within 14 days of purchase for unused subscriptions

7.5 Price Changes

We reserve the right to change prices with at least 30 days' written notice. Price changes will not affect your current billing cycle. Continued use after a price change constitutes acceptance.

Limits are per-user, per-calendar-day (UTC). Unused limits do not carry over. We reserve the right to adjust limits with notice to prevent abuse or manage costs.

9. Acceptable Use Policy

You agree NOT to use the Service to:

9.1 Content Violations

Generate or publish spam, unsolicited commercial messages, or engagement bait
Create misleading, deceptive, or fraudulent content
Produce content that promotes hate, violence, harassment, or discrimination
Generate sexually explicit, abusive, or exploitative content
Impersonate individuals, organizations, or AI systems
Infringe on copyrights, trademarks, or other intellectual property rights

9.2 Platform Violations

Violate Meta's Threads Community Guidelines or Terms of Use
Circumvent Threads' rate limits, anti-spam measures, or security features
Create fake accounts or operate engagement pods through the Service
Use the Service to manipulate Threads' algorithm in ways that violate Meta's policies

9.3 Technical Violations

Reverse engineer, decompile, disassemble, or extract source code from the Service
Attempt to gain unauthorized access to our systems, accounts, or data
Circumvent usage limits, authentication, or payment requirements
Use automated tools to access the Service beyond its intended interface
Resell, sublicense, or commercially redistribute any part of the Service
Introduce malware, viruses, or other harmful code

9.4 Enforcement

Violation of this Acceptable Use Policy may result in:

Warning and request to cease the violation
Temporary suspension of your account
Permanent termination of your account without refund
Reporting to Meta or relevant authorities where required

10. Intellectual Property

10.1 Our Property

The Service, including its design, code, algorithms, user interface, documentation, and the "Replia" trademark, are the exclusive property of Arve Tech FZC - LLC. All rights reserved. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited license to use the Service.

10.2 Your Content

You retain full ownership of all content you create, including AI-assisted content after you review and publish it
You grant us a limited, worldwide, non-exclusive, royalty-free license to process, store, and transmit your content solely for the purpose of providing the Service
This license terminates when you delete your content or account
We do not claim any ownership of or right to use your content for purposes beyond operating the Service

10.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us an unrestricted, perpetual, royalty-free license to use such feedback for any purpose without obligation to you.

11. Third-Party Services

The Service integrates with third-party services that are governed by their own terms:

Meta Platforms, Inc. — Threads API, governed by Meta's Platform Terms and Threads Terms of Use
Anthropic PBC — AI content generation, governed by Anthropic's Terms of Service
Apple Inc. / Google LLC — App distribution and in-app purchases
Stripe, Inc. — Web payment processing

We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is at your own risk and subject to their respective terms and policies.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

Without limiting the foregoing, we specifically disclaim:

Any warranty of merchantability, fitness for a particular purpose, or non-infringement
Any guarantee of specific results (follower growth, engagement, virality, revenue)
Any warranty that the Service will be uninterrupted, error-free, or secure
Any warranty regarding the accuracy or appropriateness of AI-generated content
Any responsibility for actions taken by Meta on your account
Any responsibility for changes to Threads' API, algorithms, or policies

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Our total aggregate liability for all claims arising from or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or USD $100, whichever is greater
In no event shall we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, goodwill, reputation, or business opportunities
We are not liable for damages arising from: (a) your use of or reliance on AI-generated content; (b) actions taken by Meta on your Threads account; (c) unauthorized access to your account due to your failure to maintain credential security; (d) force majeure events

These limitations apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Arve Tech FZC - LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

Your use of the Service
Content you publish through the Service
Your violation of these Terms
Your violation of Threads' Terms of Use or Community Guidelines
Your violation of any third party's rights

15. Suspension and Termination

15.1 By You

You may cancel your subscription at any time
You may delete your account at any time via Settings → Delete Account
Upon deletion, your personal data will be removed within 30 days

15.2 By Us

We may suspend or terminate your access, with or without notice, if:

You materially breach these Terms
You violate the Acceptable Use Policy
Your account poses a security risk to us or other users
We are required to do so by law or legal process
We discontinue the Service (with reasonable notice)

15.3 Effect of Termination

Upon termination:

Your right to use the Service ceases immediately
We will delete your data within 30 days (except as required by law)
Outstanding payment obligations remain due
Sections 6.2, 10, 12, 13, 14, and 17 survive termination

16. Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. For material changes affecting paid features:

We will provide at least 30 days' notice
If a material feature is removed, you may cancel for a prorated refund
We are not liable for any modification or discontinuation of free features

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of law principles.

17.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved as follows:

Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation for a period of 30 days
Mediation: If negotiation fails, the parties shall submit the dispute to mediation under the rules of the Dubai International Arbitration Centre (DIAC)
Arbitration: If mediation fails, the dispute shall be finally resolved by binding arbitration under DIAC rules, conducted in English, with the seat of arbitration in Dubai, UAE

17.3 Exceptions

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction. Consumer protection laws in your jurisdiction may grant you additional rights that cannot be waived.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service, superseding any prior agreements.

18.2 Severability

If any provision is found to be unenforceable, the remaining provisions remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.

18.5 Force Majeure

We are not liable for failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or failures of third-party services (including Meta's Threads platform).

19. Changes to Terms

We may modify these Terms at any time. For material changes:

We will provide at least 14 days' notice via in-app notification and/or email
Continued use after the effective date constitutes acceptance
If you disagree with changes, you may terminate your account before the effective date
Previous versions are available upon request
